1. Acceptance of Terms
By downloading, installing, accessing, or using any Arctisoft Studio application or service (collectively, the "Software"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Software.
These Terms constitute a legally binding agreement between you ("User", "you") and Arctisoft Studio / Bernd Julian Hagen ("Arctisoft Studio", "we", "us", "our"), a sole proprietorship registered in Austria.
These Terms apply to all users, whether accessing free or premium versions of our Software, and govern your use of Arctisoft Studio Hub, Medio, WaveShaper, MetaEdit Plus, Sonaris, and any associated services.
2. Eligibility
Our Software may be freely downloaded and used by persons of any age. No age restriction applies to using the free or local features of Arctisoft Studio Hub, Medio, WaveShaper, MetaEdit Plus, or Sonaris without an account.
To create an Arctisoft Studio account, you must be at least 14 years of age (in accordance with the Austrian digital age of consent under DSG §4(4)). Users under 14 may create an account only with verifiable consent from a parent or legal guardian.
To make purchases (Premium licence keys), you must be at least 18 years of age or have the consent of a parent or legal guardian. By completing a purchase, you represent and warrant that you meet these requirements.
3. Account Registration
Certain features of our Software require you to create an Arctisoft Studio account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Promptly notify us of any unauthorised use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that show signs of fraudulent activity.
4. License Grant
Subject to your compliance with these Terms, Arctisoft Studio grants you a limited, non-exclusive, non-transferable, revocable licence to use our Software for personal or commercial purposes. This licence does not include the right to modify, adapt, distribute, sublicence, or reverse-engineer any part of the Software, except where explicitly permitted or required by applicable law (including EU Directive 2009/24/EC on the legal protection of computer programs).
5. Product-Specific Terms
- Medio – Freeware with optional Premium tier. The base application is free for personal and commercial use. Premium features require a valid, purchased licence key. Users are solely responsible for ensuring their use of Medio complies with applicable copyright laws and the terms of service of third-party platforms.
- WaveShaper – Freeware with optional Premium tier. The base application is free for personal and commercial use. Premium features including the mastering suite, multi-band compression, and creative effects require a valid licence key.
- MetaEdit Plus – Completely free. All features are available at no cost without a licence key. May be freely used for personal and commercial purposes.
- Sonaris – Completely free. All features are available at no cost without a licence key. May be freely used for personal and commercial purposes.
- Arctisoft Studio Hub – Free centralised management application for account access, licence management, application installation, updates, local preferences, and optional cloud synchronisation. Guest Mode is available for non-account workflows.
6. Premium Licence Keys
Premium licence keys are personal, non-transferable, and bound to the account that redeems them or is automatically linked after purchase. Each key permits use on a reasonable number of devices owned or controlled by the licence holder (generally up to five active devices). Licence keys must not be shared, sold, published, distributed, or transferred to third parties. We reserve the right to suspend accounts or revoke keys that are misused, shared publicly, or involved in fraudulent activity.
7. Pricing, Payment and VAT
The Hub displays product prices in Euros (EUR). Checkout shows the final payable total, applicable taxes and available payment methods before you confirm your order. Payments are completed with Stripe; the Hub does not collect complete payment-card credentials.
Prices are denominated in Euros (EUR) and are subject to change. Any price changes will not affect previously completed purchases.
8. Right of Withdrawal (EU Consumers)
Under the EU Consumer Rights Directive (2011/83/EU) and the Austrian Consumer Protection Act (Konsumentenschutzgesetz, "KSchG"), consumers within the European Union have a statutory right to withdraw from distance contracts within 14 days of purchase without giving a reason.
Exception for digital content: For paid digital content supplied without a physical medium, loss of the right of withdrawal depends on the conditions in Article 16(m) of Directive 2011/83/EU: performance must begin with your prior express consent, you must acknowledge that you thereby lose the right of withdrawal, and the required confirmation must be provided. Receiving a license key or downloading software alone does not establish these conditions.
Contact support with your order reference to exercise a withdrawal right or report a problem with the purchased product. Mandatory consumer remedies for digital content remain unaffected.
9. Refund Policy
Contact us about refund or correction requests, including the circumstances below. Voluntary refunds are considered individually; this does not limit statutory withdrawal rights or remedies for defective digital content.
- A demonstrated technical defect prevents the Premium features from functioning
- Duplicate purchase (accidental double-charge)
- The licence key was not delivered
To request a refund, contact support@arctisoft-studio.com with your invoice number and a description of the issue.
10. User Responsibilities and Acceptable Use
By using our Software, you agree to:
- Use the Software in compliance with all applicable local, national, and international laws and regulations
- Not use the Software to infringe upon the intellectual property rights, privacy rights, or other rights of any third party
- Not use the Software for unlawful downloading, distribution, or reproduction of copyrighted material
- Not attempt to reverse-engineer, decompile, disassemble, or extract the source code of proprietary components, except as permitted by applicable law
- Not attempt to circumvent, disable, or interfere with licence validation or activation mechanisms
- Not use the Software to transmit malware, viruses, or other harmful code
- Not use automated tools, bots, or scripts to interact with our services in an unauthorised manner
- Maintain the security of your licence key and account credentials
11. Intellectual Property
All intellectual property rights in the Software, including but not limited to source code, object code, user interfaces, graphics, icons, logos, trademarks, trade names, and documentation, are and remain the exclusive property of Arctisoft Studio. Nothing in these Terms transfers ownership of any intellectual property to you.
The Arctisoft Studio name, logo, and product names (Medio, WaveShaper, MetaEdit Plus, Sonaris) are trademarks of Arctisoft Studio. You may not use these trademarks without our prior written consent.
12. Third-Party Components
Our Software incorporates third-party libraries and open-source components, each subject to their respective licence terms. Relevant attributions and licence notices are included within each application. Notable third-party components include .NET runtime libraries, NAudio, FFmpeg, and various open-source packages. You are responsible for complying with the terms of any applicable third-party licences.
13. Software Updates
Arctisoft Studio may release updates, patches, or new versions of the Software from time to time. Updates are delivered through Arctisoft Studio Hub and may include bug fixes, security patches, and feature additions. While we endeavour to maintain backward compatibility, we do not guarantee that all features will remain unchanged across updates.
14. Service Availability
Our desktop applications are designed for primarily local use and do not require a persistent internet connection for many core workflows. Internet-dependent features, including online media downloads, metadata lookups, first-time external tool downloads where needed, account sync, licence activation, update delivery, and purchase history, require internet access. We do not guarantee uninterrupted availability of cloud services and shall not be liable for temporary outages or service interruptions.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, secure, or free of harmful components.
Nothing in this section excludes or limits warranties that cannot be excluded or limited under applicable law, including mandatory consumer protection rights under Austrian and EU law.
16. Limitation of Liability
To the maximum extent permitted by applicable law:
- Arctisoft Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, arising out of or related to your use of or inability to use the Software.
- Our total aggregate liability for all claims arising out of or relating to these Terms or the Software shall not exceed the amount you paid to us for the specific product giving rise to the claim in the twelve (12) months preceding the claim.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable Austrian or EU law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Arctisoft Studio from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Software in a manner not authorised by these Terms; or (c) your violation of any applicable law or rights of a third party. This indemnification obligation shall not apply to the extent that the claim arises from our own wilful misconduct or gross negligence.
18. Termination
We may suspend or terminate your access to the Software and your licence at any time, with or without notice, if you materially breach these Terms. Upon termination:
- Your licence to use the Software is immediately revoked
- You must cease all use of the Software and destroy any copies in your possession
- Sections regarding disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive termination
You may terminate your use of the Software at any time by uninstalling the application and deleting your account.
19. Force Majeure
Arctisoft Studio shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or failures of third-party service providers.
20. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Austria, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Austria.
If you are a consumer within the meaning of the Austrian KSchG, you may also bring proceedings in the courts of your habitual residence. Mandatory consumer protection rights under Austrian and EU law remain unaffected.
Consumers can find information about alternative dispute resolution bodies through the European Commission's consumer redress directory: Consumer dispute resolution bodies . Contact support first with your order reference and the nature of the dispute. Applicable rights to dispute resolution remain unaffected.
21. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
22. Entire Agreement
These Terms, together with our Privacy Policy and Licence Agreement, constitute the entire agreement between you and Arctisoft Studio regarding your use of the Software and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
23. Waiver
The failure of Arctisoft Studio to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Arctisoft Studio.
24. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Arctisoft Studio may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.
25. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Software or via email to registered users at least 30 days before taking effect. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Software after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Software.
