1. End User Licence Agreement (EULA)
This End User Licence Agreement ("Agreement") is a legally binding contract between you ("User", "Licensee") and Arctisoft Studio / Bernd Julian Hagen ("Licensor", "Arctisoft Studio"), a sole proprietorship registered in Austria. This Agreement governs your use of all Arctisoft Studio software products, including Arctisoft Studio Hub, Medio, WaveShaper, MetaEdit Plus, and Sonaris (collectively, the "Software").
By installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
2. Definitions
- "Software" refers to the Arctisoft Studio applications, including all executable files, libraries, resources, documentation, updates, and patches provided by the Licensor.
- "Licence Key" refers to the unique alphanumeric code provided upon purchase that activates Premium features within the Software.
- "Free Tier" refers to the core features of Medio and WaveShaper available at no cost without a Licence Key, and to the full feature set of freeware products where no Premium Tier exists.
- "Premium Tier" refers to enhanced Medio or WaveShaper features accessible only with a valid Licence Key.
- "Authorised Device" refers to a computer or device owned or controlled by the Licensee on which the Software is installed and activated.
3. Free Tier Licence
The Free Tier of Medio and WaveShaper, and the full freeware editions of MetaEdit Plus and Sonaris, are provided under a non-exclusive, non-transferable, royalty-free licence for personal and commercial use. No Licence Key is required for free features. The Licensor reserves the right to modify the features available in free editions at any time. Free editions are provided "as is" without any obligation of support, maintenance, or updates.
4. Premium Licence
Upon purchase of a Premium Licence Key, the Licensor grants you:
- A non-exclusive, non-transferable, non-sublicensable, perpetual (subject to termination provisions) licence to use all Premium features of the specified product
- The right to activate the licence on up to five (5) Authorised Devices simultaneously. If you need additional activations, contact us to discuss your requirements
- Access to patches and feature updates released for the licensed product at no additional cost unless a future paid major version is clearly offered under separate terms
Each Premium Licence Key is bound to the Arctisoft Studio account that redeems it, or to the account automatically linked after purchase where applicable. The licence is personal to the account holder and may not be transferred, sold, or reassigned inside the Hub.
5. Freeware Product Licences
MetaEdit Plus and Sonaris are distributed as freeware under a non-exclusive, non-transferable licence. All features are available at no cost without a Licence Key. You may freely use MetaEdit Plus and Sonaris for personal and commercial purposes. Their source code is not open-source and remains the intellectual property of the Licensor.
6. Licence Restrictions
Unless expressly authorised by the Licensor in writing, you may not:
- Sell, sublicence, rent, lease, lend, or otherwise transfer or distribute the Software or any Licence Key to any third party
- Share, publish, or make your Licence Key available to any person outside your household or organisation
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law (including Articles 5 and 6 of EU Directive 2009/24/EC)
- Modify, adapt, translate, or create derivative works based on the Software
- Remove, alter, obscure, or tamper with any copyright notices, trademarks, digital watermarks, or proprietary legends contained in the Software
- Circumvent, disable, or interfere with any licence validation, activation, or copy protection mechanisms
- Use the Software to develop a competing product or service
- Use the Software to facilitate copyright infringement, piracy, or any activity that violates applicable laws or the rights of third parties
- Distribute modified or unofficial versions of the Software
7. Intellectual Property
All right, title, and interest in and to the Software, including but not limited to all copyrights, patents, trade secrets, trademarks, and other intellectual property rights, are and shall remain the exclusive property of Arctisoft Studio. This Agreement does not convey any ownership interest in the Software; it only grants a limited licence to use the Software under the terms specified herein.
The Arctisoft Studio name, logo, and all product names and logos are trademarks of Arctisoft Studio and may not be used without prior written permission.
8. Data Collection and Privacy
By using the Software, you acknowledge that certain data may be collected and processed as described in our Privacy Policy. The Software uses account, license and device data for connected account features. Online downloads, metadata searches and other connected workflows may involve request information sent to their providers. For details and your privacy controls, refer to our Privacy Policy.
9. Updates and Modifications
The Licensor may provide updates, patches, or new versions of the Software from time to time. For Premium Licensees, feature updates within the same major version are included at no additional cost. The Licensor reserves the right to:
- Release major version upgrades that may require a separate licence or additional payment
- Discontinue support for older versions of the Software
- Modify, add, or remove features in future updates
Updates are delivered through Arctisoft Studio Hub and are optional. Installed versions of the Software will continue to function without updates.
10. Third-Party Components
The Software incorporates third-party libraries and open-source components licensed under their respective terms (including MIT, Apache 2.0, LGPL, and other open-source licences). A list of third-party components and their licence terms is available within each application. Your use of these components is subject to their respective licence terms in addition to this Agreement.
11. Export Compliance
You agree to comply with all applicable export control laws and regulations, including those of the European Union and the Republic of Austria. You may not export, re-export, or transfer the Software to any country, entity, or person prohibited by applicable export laws without obtaining all required authorisations.
12. High-Risk Use Prohibition
The Software is not designed, manufactured, or intended for use in hazardous environments requiring fail-safe performance, including but not limited to the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, life support systems, or weapons systems. You shall not use the Software for any such purposes.
13. No Warranty
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. The Licensor specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Licensor does not warrant that:
- The Software will meet your specific requirements
- The Software will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Software will be accurate or reliable
- Any defects in the Software will be corrected
Nothing in this section excludes or limits warranties that cannot be excluded or limited under mandatory provisions of Austrian or EU consumer protection law. For consumers within the EU, the statutory warranty rights under Directive (EU) 2019/770 (Digital Content Directive) remain unaffected.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Licensor shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, loss of data, loss of business opportunity, business interruption, or loss of goodwill, regardless of the theory of liability and even if the Licensor has been advised of the possibility of such damages.
- The Licensor's total cumulative liability arising out of or relating to this Agreement shall not exceed the greater of (a) the amount actually paid by you for the specific Licence Key giving rise to the claim, or (b) fifty Euros (EUR 50.00).
- Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law.
15. Termination
This Agreement is effective from the date you first install or use the Software and continues until terminated.
- Termination by you: You may terminate this Agreement at any time by uninstalling all copies of the Software and, if applicable, deleting your Arctisoft Studio account.
- Termination by Licensor: The Licensor may terminate this Agreement immediately upon written notice if you materially breach any of its terms. The Licensor may also revoke individual Licence Keys involved in fraudulent activity, unauthorised sharing, or abuse.
- Effect of termination: Upon termination, all rights granted under this Agreement cease immediately. You must destroy all copies of the Software in your possession. Termination does not entitle you to a refund of any fees paid.
16. Survival
The following sections shall survive termination of this Agreement: Section 7 (Intellectual Property), Section 13 (No Warranty), Section 14 (Limitation of Liability), Section 17 (Governing Law), and this Section 16 (Survival).
17. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Austria, without regard to conflict of law principles. Any disputes arising from or relating to this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in Austria.
If you are a consumer within the meaning of the Austrian Consumer Protection Act (KSchG), you may also bring proceedings in the courts of your habitual place of residence. Mandatory consumer protection rights under Austrian and EU law remain unaffected by this provision.
18. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Arctisoft Studio with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.
20. Amendment
The Licensor reserves the right to amend this Agreement at any time. Material changes will be communicated through the Software or via email to registered users. The "Last updated" date at the top of this page indicates when the Agreement was last revised. Your continued use of the Software after the effective date of any amendment constitutes your acceptance of the revised Agreement.
